Terms & Conditions

1. Nature and Scope of Work:

The Service Provider hereby agrees to pick-up/ dispatch/ deliver and collect cash for consignor's documents/ Parcels/ Packages to consignore in the respective address covering its area of operation.


2. Mode of Transportation:

According to requirements The Service Provider may utilize the service of airlines, buses, Own fleets of vehicle, delivery team, trucks or any other applicable means of transportation as the mode of transportation for document and parcel to reach the destination safely and reliably at their convenience.


3. Charges & Rates:

Delivery charges will be applied as per Annexure-1. Packages weighing up to 1 kg will be considered as one unit. For parcels exceeding 1 kg, each additional kilogram will incur a charge equivalent to half of the per-unit rate. For packages with an amount exceeding Rs. 6,000, an insurance charge of Rs. 200 will be applied. For packages with an amount exceeding Rs. 10,000, an insurance charge of Rs. 250 will be applied.


Note: If the length is 50 cm or more, or the dimensions are 15×15×15 cm or larger, a volumetric charge will be applied by both domestic airlines and transport services.

For shipments up to 2 kg, we have charged the 1 kg rate. However, for packages exceeding this above mention limit, an additional 1 kg charge is applied — meaning it is considered as a 3 kg product for billing purposes.


4. Value Added Tax:

Delivery charge will be exclusive of VAT.


5. Risk Coverage:

The consignor has to declare the description and nature of items/goods/parcels with valuation amount (in NRS) of the consignment, along with a tax invoice, which is sent through the service provider. The Service Provider will be liable for the Goods worth up to NRs. 5,000/-. For value beyond NRs. 5,000/-, the consignor shall insure high value items on their own for any mishap during transit.


6. Invoice of Goods:


Consigner agrees to include invoice of goods in the parcel and if the goods/parcels get confiscated by any government authorities on the ground of unavailability of proper invoice Kalpa Shall not be liable for any claim or cases.


7. Claim and Compensation:

The consignor hereby agrees to claim for damaged consignment at the time of delivery (i.e., Delivered to Customer or Return to Vendor). The Service Provider shall not entertain any claim thereafter. The claim for value declared and insured consignment will only be entertained after proper investigation.

The compensation amount will be full in terms of lost parcel and will be negotiated on mutual understanding in terms of external & internal damage and will be made through bank transfer by way of adjustment in COD amount in favor of the consignor.

For the physical damage claim, the damage shall be external causing the internal damage. If there is no external damage (damage on the unit box), internal damage shall not be taken into consideration as the Service provider will not be able to see if the internal object/good was pre damaged. All Claim shall be submitted through Portal via General Ticket only.


8. Pick-up Time Schedule & Charge:

The Service Provider will give free pickup service once a day for 5 or above parcels. If the consigner requires pickup for parcels less than 5 in a day, additional pickup charges as per Annexure-I will be applicable.

The Service Provider agrees to pick-up documents/parcels every working day within The Service Provider's convenient time from specific counter of Consigner. If documents/parcels is/are not ready by the mentioned time, the Service Provider will not be responsible for delay in pickup, dispatch and delivery of consignment. Further, for the pick-up, pick up request is to be made via Portal.


9. Delivery time:

The Service Provider will perform the service within reasonable time frame which is within 3 days in an average all over Nepal except the reason beyond the control. Any delays for factors outside the control of the Service Provider will be notified as early as practically possible.


10. Redirect Order:

Consigner can redirect the Packages/ Parcels/ Document to new customer in case of rejection or cancellation by first Customer. Redirect can be done within same branch or any other branch, with additional Charges and additional time. Redirect Charge shall be as per Annexure I.


11. Hold Facilities:

The Service Provider Shall follow up and attempts to deliver the package/parcels/documents up to 7 days. Packages/Parcels/Document not delivered within 7 days are subject to return. If Consigner wish to keep the order at destination branch beyond 7 days, it can be done only by opting to Hold Orders via Portal. Hold Can be done for additional 7 days with additional Hold Charge as per Annexure I. Thereafter Packages/Parcels/Document are subject to Return by default.


12. Exchange Cases:

Case 1: In case consigner agrees to exchange packages/parcels/document to customer, it can be done via portal through “create exchange”. In this case consigner shall send new parcel to customer and return of old parcels will be done after delivery of new parcel to customer.

Case 2: After receiving consent of consigner via comment in order dashboard, Customer shall drop old parcel to Destination Branch. Destination Branch will proceed to send the parcel to Consigner. However, after receipt of parcels consigner will be obliged to send new parcels within 3 working days to KALPA Office. In case of non-receipt of parcels within stated time frame, The Service Provider may treat the case as refund to customer and settlement of the same will be made with vendor through COD adjustment. The Service Provider shall inform to consigner for the same via portal before making such payment.


13. Proof of Delivery:

The Service Provider hereby agrees to provide the detailed tracking of the document/ parcel to the Consigner from the system of The Service Provider itself. Also, for the delivery 3 attempts shall be made either via phone or being at the physical landmark of the customer. After 3 attempts the goods shall be deemed as returnable goods and shall be returned back to the consignor. Further, the goods may be kept on hold on request of the Consigner only via portal as per the customers need and will be delivered to the customer on requested date with additional charges as per Annexure-I.


14. Online Tracking:

The Service Provider hereby agrees to provide the consignor with Credentials for Login ID into the online portal of The Service Provider for the purpose of Tracking of shipments. Once such credentials are shared, the Consigner can view and check the detail of shipment like Receiver Detail, Weight. Any discrepancies need to be notified within one working day on the portal via general ticket.


15. Automated SMS Update:

The receiver of every parcel shall receive Automated SMS Update as mentioned below;

First SMS: First SMS shall be sent to customer at the time when the parcel reaches destination branch of the service provider informing arrival of the parcel and delivery coordination/or when the parcel is sent for delivery after confirmation with the receiver.

Final SMS: Second/Final SMS shall be sent to customer at the time when the parcel fails to be delivered even after multiple approaches and sent as final warning message stating the parcel will be returned back to the consigner within 24 hours.

Further, the SMS message shall mention the name of Consignor to let customer know their order status at Consignor.


16. Mode of Payment:

The Service Provider shall transfer the COD amount thrice a week (Sunday, Tuesday and Thursday) upon request of consignor through the portal only.

If the COD payment date falls on public holiday, it shall be paid on next working day. COD transfer request must be made a day prior to COD payment date by the consigner and if the COD transfer request is made otherwise it shall be automatically considered in the next COD payment day.

The payment of COD will be made netting off the charges to be paid by the consigner. If the charges to be paid by the consigner exceeds the COD amount, the consignor hereby agrees to pay the via bank transfer or upon request from The Service Provider.

If, the consignor is not associated with The Service Provider bank, The Service Provider shall process the COD transfer via connect IPS and consignor agrees to pay the applicable charges for the transfer. Payment delays for one day may occur if it is made through Connect IPS transfer due to process of Corporate Pay.


17. Contraband Goods:

The consignor shall have to strictly make sure that no contraband goods, as specified in government rules and regulation, are put inside their consignment. If the consignment is found doubtful, the Service Provider has right to check up and verify the consignment. The Service Provider does not have any responsibility for legal outcome for any contraband items inside the consignment.


18. Fragile Goods:

Fragile goods that require special handling, perishable items like food, biological items that have limited life or hazards, valuable items including precious items and gems are not covered by this agreement.


19. Packaging of Parcels/goods:

The Consigner shall take full responsibility for proper packaging of the shipment (documents / parcels/ packages).


20. Declaration of Goods:

Consigner must declare the description of the items inside the parcel/packages.


21. Force Majeure:

The Service Provider shall not be responsible for the goods lost or damaged due to unforeseen circumstance such as landslide, flood, accident, fire or any other reasons which are beyond the Service Provider and the consignor control.


22. Data Security:

Both parties agree to abide by and maintain adequate data security measures, consistent with industry standards and technology best practices, to protect Data from unauthorized disclosure or acquisition by an unauthorized person.


23. Duration, Renewal and Termination Contract:

(a) This contract comes into effect after signing by both parties and shall continue till one year from signing date, and can be renewed/ amended with mutual consent between both parties.


(b) Either party may terminate this Agreement by giving 3 days' written notice to the other party. In the event of termination, Consignor shall pay the Service Provider for all transportation services provided up to the date of termination.


24. NOTICES

Communication between the parties can be made in writing. Communication shall be at the legal addresses specified in the recital paragraphs of this Agreement or email id mentioned in this agreement or through the portal as provided by the service provider to the cosigner.


25. ASSIGNABILITY

The Service Provider may assign, transfer, or sub-contract obligations under this Agreement and its performance or any benefit hereunder whether wholly or partly, to any other service provider. However, if the assignment is made the Service Provider shall be responsible.


26. Responsibility of Consignor

Consignor warrants and represents that:

(a) Consignor shall indemnify and hold harmless the Service Provider, its employees, agents, and contractors from any and all claims, damages, or liabilities arising out of or in connection with the transportation of the Goods, including but not limited to claims, damages, or liabilities arising out of the Goods, Consignor’s breach of this Agreement, or Consignor’s negligence.

(b) Consignor shall be liable to the Service Provider for any loss, damage, or injury caused by the Goods, including but not limited to loss, damage, or injury caused by hazardous or illegal materials contained in the Goods.

(c) If the information, documents, or goods provided by the Consignor result in any legal issues or cases for the service provider, the Consignor will be held fully accountable to the extent of all liability under laws of Nepal.

(d) The Service Provider shall not be liable for any indirect, consequential, or incidental damages arising out of or in connection with the transportation of the Goods. The Consignor shall be fully held liable in this regard.

(e) The Consignor shall properly secure and cover all goods being transported from any weather, road, or other hazardous conditions during the term of the contract.

(f) The Consignor has the right to transport the Goods.

(g) The Goods do not contain any hazardous or illegal materials;

(h) The Goods are properly packaged and labeled in accordance with all applicable laws and regulations.

(i) All documents produced are authentic and true.

(j) All the Government formality have been fulfilled and tax or revenue have been paid to the government as regards the goods


27. The Service Provider's Responsibility

The Service Provider warrants and represents that:

(a) It has the necessary permits to provide courier/transportation services;

(b) It has complied with all applicable laws and regulations; and

(c) The Service Provider shall be responsible for the safe and timely transportation of the Goods. In the event that the Goods are lost or damaged during transportation, Transporter shall be liable subject to the limitations of liability set forth in this Agreement.


28. Regarding the return of goods not claimed

If no one comes to pick up the goods of consignor after the goods have been transported to the destination, they will be kept at that place for a maximum of 10 days. If no one comes to collect the goods within 10 days, the goods will be returned to the place from which the goods were delivered by the consignor. After the goods have been returned, the goods will be returned by contacting the consignor by phone or email or any other means to get the goods back. If the goods are not returned after contacting in this way, after 60 (sixty) days from the date of return, the goods will be auctioned or disposed of in any other way. After such arrangement, the consignor or goods owner cannot claim goods or money or compensation or any other way with the service provider in relation to the goods.



29. GOVERNING LAW AND MISCELLANEOUS

(a) This Agreement shall be governed by and construed in accordance with Laws of Nepal.

(b) Any other provision which is not covered by this agreement shall be as per law of Nepal.
